Terms of Service

SubProof is daily field documentation software for subcontractors. These terms are the agreement between your company and SubProof. By creating an account or using the app, you agree to them.

1. Who can open an account

The person who creates a company account must be authorized to act for that company and to agree to these terms on its behalf. That person becomes the account Owner. You must be at least 18 years old.

The Owner may invite additional people to the company roster and assign their access level. The Owner is responsible for who has access and for keeping sign-in credentials private.

2. Your data belongs to you

Everything your crews put into SubProof — job notes, voice dictation, photos, man-hours, project details, and the daily report PDFs built from them — belongs to your company. SubProof does not claim ownership of it.

We do not sell your job site information, and we do not share it with other companies. We only use it to run the service for you: generating reports, storing them, and emailing them to the recipients you designate.

You may export or download your reports at any time while your account is active. If you cancel, contact us and we will provide a copy of your records.

3. SubProof is documentation software, not professional services

SubProof records and organizes what your people tell it. It is not engineering, architectural, surveying, legal, or safety advice, and it does not certify that work was performed correctly or in compliance with any code, contract, or regulation.

The app uses automated assistance to turn spoken field notes into a structured report and to ask clarifying follow-up questions. The person finishing a report is solely responsible for the accuracy of its contents — headcounts, hours, quantities, safety notes, delays, and conditions — before submitting it. Review each report before it goes out.

SubProof is a record of what was reported. It is not a substitute for your own contract administration, notice requirements, or recordkeeping obligations.

4. Acceptable use

You agree not to:

  • Upload content that is unlawful, infringing, or that you have no right to share.
  • Submit knowingly false field records, or use the service to misrepresent work performed.
  • Share one login among multiple people instead of adding them to the roster.
  • Attempt to access another company's data, probe or disrupt the service, or reverse engineer it.
  • Resell or rebrand the service without our written agreement.

We may suspend an account that violates these rules. Where practical, we will contact the Owner first.

5. Subscription, seats, and the free trial

SubProof is billed monthly. Your price depends on your seat count. A billable seat is any person on your company roster, whether they have accepted their invitation or not.

First seven days free. Billing starts automatically after that. A payment method is collected when you create the account. Your first charge occurs at the end of day seven unless you cancel before then. The account is fully usable during the trial.

Adding seats that move you into a higher tier takes effect immediately, is charged prorated for the remainder of the current month, and the new seat is usable right away. You will be shown the new tier and monthly price and asked to confirm before anything is added or charged.

Removing a seat takes effect immediately. The price change applies at your next billing date. We do not issue mid-cycle refunds or credits for removed seats.

Payments are processed by Stripe. We do not store your full card details. Current pricing is shown on the pricing page. We may change pricing with at least 30 days' notice to the Owner by email; changes apply at your next renewal.

6. Cancellation and failed payments

The Owner may cancel at any time from the billing page on this website. Cancellation stops future charges and access continues through the end of the period you already paid for.

If a charge fails, we retry on our payment processor's normal schedule and email the Owner. App access may be restricted until payment succeeds. We do not delete your company data or reports because of a failed payment.

7. Availability

We work to keep SubProof available and reliable, but we do not promise uninterrupted service. Maintenance, outages at our hosting or email providers, cellular coverage on job sites, and device issues can all affect delivery. SubProof is provided "as is" without warranties of any kind, express or implied.

8. Limitation of liability

To the fullest extent permitted by law, SubProof is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, project delays, liquidated damages, back charges, claims, or disputes arising out of your use of the service or any report produced with it.

Our total liability for any claim is limited to the amount you paid for SubProof in the twelve months before the claim arose.

You agree to indemnify SubProof against claims brought by third parties — including general contractors, owners, and other project participants — that arise from the content your company submits or from your use of the service.

9. Changes and termination

We may update these terms. If a change is material, we will notify the Owner by email before it takes effect. Continuing to use SubProof after a change means you accept the updated terms.

We may suspend or terminate an account for non-payment or for a serious violation of these terms. You may stop using SubProof at any time by cancelling.

10. Governing law and contact

These terms are governed by the laws of the State of Colorado, without regard to its conflict of law rules.
